Terms of Service

These Terms of Service (the "Terms") govern access to and use of the A2P SMS channel operations platform, websites, APIs and related services (collectively, the "Services") provided by ACP Equities, LLC ("ACP", "we", "us"). By creating an account or using the Services you agree to these Terms on behalf of yourself and any organization you represent.
1. The Services
ACP provides application-to-person (A2P) SMS routing, delivery, number lookup, sender registration and related analytics. The Services are provided for lawful business messaging only. Route availability, throughput and delivery characteristics vary by destination and may change as carrier conditions change.
2. Accounts and registration
You must provide accurate registration information, including a valid email address or mobile phone number, and keep credentials confidential. You are responsible for all activity under your account and API keys. We may require identity and business verification (KYC) before enabling production traffic and may suspend accounts that fail verification.
3. Acceptable use and anti-spam
You may only send messages to recipients who have given valid, provable consent under the laws of their jurisdiction. Prohibited: unsolicited bulk messaging, content that is deceptive or fraudulent (including artificially inflated traffic), phishing, grey-route arbitrage, prohibited categories under destination-country rules, and any traffic that violates applicable law or carrier codes of practice. You must honor opt-out requests (including STOP keywords) immediately and maintain suppression lists.
4. Compliance and registrations
Certain destinations require sender ID registration, 10DLC campaign vetting, short code approval or content templates. Where ACP facilitates these registrations you agree to supply truthful information and to send only traffic consistent with the approved registration. Regulatory fees are passed through at cost unless otherwise agreed.
5. Fees and settlement
Usage is billed per delivered message part at the rates applicable to your account, plus any destination surcharges and pass-through regulatory fees. Rates may be updated with notice via the console or rate-card feed; continued sending after the effective date constitutes acceptance. Invoices are due on the terms stated on the invoice; overdue balances may result in suspension and accrue interest at the lesser of 1.5% per month or the maximum lawful rate.
6. Service levels and support
We target the platform availability and delivery objectives published in the console for your account tier. Remedies for missed objectives, where offered, are service credits as described in the applicable service-level addendum, and are your exclusive remedy for availability failures.
7. Data protection
Each party will comply with applicable data protection laws in respect of personal data processed in connection with the Services. Message content and recipient numbers are processed as necessary to route, deliver and evidence messages, as described in our Privacy Policy. Where required, the parties will execute a data processing addendum.
8. Intellectual property
ACP retains all rights in the Services, including software, APIs, documentation and telemetry data derived from platform operation. You retain all rights in your message content and customer data. You grant ACP a limited license to process that content solely to provide the Services.
9. Disclaimers
The Services are provided "as is". SMS delivery depends on third-party carriers and networks that ACP does not control; ACP does not warrant that any message will be delivered, or delivered within a particular time, except as expressly stated in a service-level addendum.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue or data. Each party's aggregate liability arising out of the Services is limited to the fees paid to ACP in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for willful misconduct, fraud, or amounts owed for usage.
11. Suspension and termination
Either party may terminate for convenience on thirty (30) days' notice, or immediately for material breach not cured within ten (10) days. We may suspend traffic immediately where necessary to protect the platform, comply with law or carrier requirements, or stop abusive traffic. Sections that by their nature survive termination survive.
12. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-laws rules. The parties will first attempt in good faith to resolve disputes informally; failing that, disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming, and the parties consent to their jurisdiction.
13. Changes to these Terms
We may update these Terms by posting a revised version on this page with an updated effective date and, for material changes, notifying account holders via the console or email. Continued use of the Services after the effective date constitutes acceptance.
